Your step-by-step guide to creating an LLC.
Creating your LLC
Choose your business name
Choose a unique and catchy business name and check its availability on your state’s official website. If it’s already taken, use creative variations.
Secure your domain name
Secure your domain name in advance at GoDaddy.com to protect your brand. If you can’t get your exact name, try creative variations or different extensions like .org or .net.
Appoint a registered agent
A registered agent receives your LLC’s legal documents and must have a physical address in your state. This can be you or a professional service; it’s a legal requirement in the U.S.
File your Articles of Organization
Articles of Organization officially register your LLC with the state, including its name, address, and purpose. Filing requires a state-specific fee, which typically ranges from $50 to $500.
Decide on the management structure
Choose whether your LLC will be member-managed, where the owners run day-to-day operations, or manager-managed, where the owners appoint one or more managers to run it. Most small, owner-run LLCs are member-managed.
Create an operating agreement
An operating agreement (optional but recommended) defines the internal rules of your LLC, including member roles, profit distribution, and management structure.
Obtain an EIN from the IRS
An EIN is like your company’s Social Security number. You’ll need it to open a bank account, hire employees, and pay taxes. You can apply for one for free at IRS.gov.
Comply with the rules
You may need a business license depending on your industry and state. Most states also require annual reports, so file them on time and pay the fee to stay in compliance.
Open a business bank account
Choose a bank and provide documents such as your EIN, Articles of Organization, and identification. Use this account for all business income and expenses.
Maximize your tax deductions
Use a business credit card for your expenses, stay organized, and increase your tax deductions. Common deductions include phone, travel, supplies, marketing, and commissions.
